By purchasing a service, submitting payment, approving work, continuing with a project, using a Konvyr-built website or system, or communicating approval by text, email, phone, direct message, invoice, checkout page, payment link, or other written or verbal communication, you agree to these Terms of Service.

1. Services Provided

Konvyr provides digital business services that may include, but are not limited to:

  • Website design, development, hosting, and maintenance.
  • Search engine optimization, local SEO, Google Business Profile support, and directory management.
  • Review generation systems, review response support, CRM setup, and automation setup.
  • Lead capture systems, online booking systems, online ordering systems, forms, funnels, and payment-related setup.
  • Graphic design, content updates, social media support, AI-assisted tools, workflows, and general digital marketing support.

The exact services included in your plan depend on the written or verbal agreement, text message, email, proposal, invoice, checkout page, payment link, plan description, or other communication provided before or during the project.

2. Agreements Made by Text, Email, Phone, DM, Invoice, Checkout, or Verbal Communication

Konvyr works with many clients through flexible communication methods. A service agreement, project approval, payment approval, scope approval, cancellation request, revision request, or plan change may be made through text message, email, phone call, direct message, invoice, checkout page, payment link, online form, or other written or verbal communication.

By confirming that you want to move forward, submitting payment, accepting an invoice, approving a payment link, approving work, or allowing Konvyr to begin providing services, you agree that those communications may be used to confirm the agreement, scope of work, payment amount, billing frequency, and service expectations.

If there is a dispute about what was agreed to, Konvyr may rely on available records including text messages, emails, invoices, payment records, screenshots, project notes, website links, published work, call summaries, approvals, and other documentation.

3. Monthly Subscription Billing

Many Konvyr services are billed on a recurring monthly basis. By submitting payment for a recurring product, subscription, invoice, checkout page, or payment link, you authorize Konvyr to charge your selected payment method on a monthly basis until the subscription is canceled.

Your subscription amount, billing frequency, and included services may be shown on your invoice, checkout page, payment link, proposal, text message, email, or other agreement.

Unless otherwise stated in writing, monthly service plans automatically renew each month.

4. No Long-Term Contract Unless Stated Otherwise

Konvyr generally operates on a month-to-month basis unless a separate written agreement says otherwise. You are not locked into a long-term contract unless you have separately agreed to one in writing.

Month-to-month service means you may cancel future billing according to the cancellation policy in these Terms. It does not mean that completed work, setup fees, current billing period payments, or services already provided are refundable.

5. Cancellation Policy

You may cancel your monthly subscription at any time by contacting Konvyr in writing by email, text, or another communication method accepted by Konvyr.

To avoid being charged for the next billing cycle, cancellation requests must be submitted before your next scheduled billing date.

Once a monthly payment has been processed, that payment covers the current billing period and is generally non-refundable. Cancellation stops future billing. It does not automatically refund prior payments, setup fees, completed work, or payments already processed for the current billing period.

Konvyr may ask for confirmation of cancellation to ensure the request is clear and properly documented.

6. Refund Policy

Because Konvyr provides digital services, custom work, setup work, website builds, marketing services, design work, SEO work, automation setup, strategy, consulting, and ongoing maintenance, payments are generally non-refundable once work has begun, services have been delivered, access has been provided, or time has been reserved for the client.

Refunds may be considered at Konvyr’s sole discretion depending on the situation, amount of work completed, services delivered, and whether the service was performed as agreed.

  • Konvyr does not provide refunds based solely on a change of mind.
  • Konvyr does not provide refunds based solely on lack of business results, leads, sales, or Google ranking changes.
  • Konvyr does not provide refunds based solely on a client deciding not to use completed work.
  • Konvyr does not provide refunds based solely on delayed approvals, missing information, or third-party platform issues outside Konvyr’s control.

7. Scope of Work

Each plan includes only the services specifically stated in the written or verbal agreement, invoice, checkout page, payment link, proposal, email, text message, or other communication between the client and Konvyr.

Unless specifically included in writing, Konvyr services do not include:

Paid advertising budgets or third-party software costs.
Domain registration fees, premium plugins, apps, or subscriptions.
Unlimited redesigns, unlimited revisions, or unlimited new pages.
Advanced custom software development unless specifically agreed to.
Legal, tax, accounting, insurance, or compliance advice.
Guaranteed leads, sales, revenue, rankings, or social media growth.

Additional work outside the original scope may require an additional fee.

8. Reasonable Edits, Updates, and Maintenance

Some monthly plans may include reasonable edits, updates, support, and maintenance. “Reasonable edits” generally means normal updates such as text changes, image swaps, service updates, business hour updates, contact information updates, small page adjustments, button/link changes, minor design refinements, and similar maintenance tasks.

Unless otherwise stated, reasonable edits do not include full redesigns, new websites, major new pages, large content creation projects, advanced automations, complex integrations, large product uploads, emergency turnaround requests, or unlimited monthly work.

Konvyr may determine whether a requested update is within the included monthly plan or requires an additional fee.

9. Client Responsibilities

To complete work properly, clients may need to provide business information, approvals, content, images, logos, access credentials, platform permissions, product details, pricing, service details, payment setup, feedback, or other required materials.

Konvyr is not responsible for delays, incomplete work, missed deadlines, or service issues caused by:

  • Missing information, delayed approvals, unavailable login access, or incorrect client-provided information.
  • Third-party platform issues, client failure to respond, or client failure to provide content.
  • Client failure to connect payment accounts, approve completed work, or communicate requested changes clearly.
  • Client changes in direction after work has started.

The client is responsible for ensuring that all information, content, images, logos, claims, products, pricing, and materials provided to Konvyr are accurate, lawful, and authorized for use.

10. Website Ownership, Hosting, and Access

Unless otherwise agreed in writing, Konvyr may build, manage, host, or maintain websites and digital systems using third-party platforms such as GoHighLevel, WordPress, website builders, hosting providers, CRM systems, payment processors, automation tools, or other platforms.

Ownership and transfer rights may depend on the platform used, the client’s payment status, and the specific agreement for the project.

If a client cancels services, Konvyr may provide reasonable assistance with transferring available website assets, content, or access where possible. However, certain systems, templates, automations, workflows, CRM structures, custom code, design layouts, internal processes, and platform-specific assets may remain part of Konvyr’s internal business systems unless otherwise agreed in writing.

If a website, funnel, automation, CRM, store, or system is hosted inside a Konvyr-controlled platform account, access may require an active paid service plan.

Konvyr may suspend hosting, maintenance, access, updates, automations, or connected services if payments are overdue, disputed, charged back, or if the subscription is canceled.

11. Domains and Third-Party Accounts

Clients are encouraged to own and control their own domain names, business profiles, payment accounts, social media accounts, and other core business accounts whenever possible.

If Konvyr assists with setting up, connecting, or managing third-party accounts, the client remains responsible for maintaining ownership, accurate information, login access, billing, compliance, and platform rules for those accounts.

Konvyr is not responsible for loss of access caused by client account issues, third-party platform decisions, domain expiration, unpaid third-party bills, password changes, ownership disputes, or policy violations.

12. Third-Party Platforms

Konvyr may use third-party platforms including, but not limited to, Google, Stripe, GoHighLevel, WordPress, hosting providers, social media platforms, directory websites, review platforms, online ordering systems, booking systems, email tools, payment processors, and automation tools.

Konvyr is not responsible for outages, bugs, pricing changes, account suspensions, policy changes, ranking changes, delivery issues, delays, removed features, integration failures, or service interruptions caused by third-party platforms.

Clients are responsible for complying with the terms, policies, and payment requirements of any third-party platforms connected to their business.

13. Search Engine Optimization and Marketing Results

Konvyr may provide SEO, local SEO, website optimization, Google Business Profile support, directory setup, content support, review systems, and other marketing-related services.

However, Konvyr does not guarantee specific search rankings, lead volume, sales, traffic, revenue, customer inquiries, conversions, or business outcomes.

Search engines, social media platforms, directories, advertising platforms, and review platforms use algorithms and policies outside of Konvyr’s control. Results may vary based on competition, market conditions, client responsiveness, business reputation, website history, budget, location, content quality, reviews, and many other factors.

14. Online Stores, Ordering, Booking, and Payment Systems

Konvyr may help set up online stores, ordering pages, booking systems, payment links, checkout pages, forms, calendars, automations, or related systems.

Clients are responsible for verifying that products, prices, availability, taxes, fees, descriptions, delivery options, pickup options, appointment times, and business policies are accurate.

Konvyr is not responsible for lost sales, incorrect orders, incorrect pricing, inventory issues, tax setup, payment processor issues, chargebacks, customer disputes, or fulfillment problems unless directly caused by Konvyr’s failure to perform an agreed service.

15. Payment Failure and Late Payments

If a payment fails, Konvyr may attempt to process the payment again or contact the client for updated payment information.

If payment remains unpaid, Konvyr may pause work, suspend services, remove access, disable hosting, stop updates, pause automations, or stop maintenance until the account is brought current.

The client remains responsible for unpaid amounts for services already provided, work already completed, or active billing periods.

16. Chargebacks and Payment Disputes

If you have a question or concern about a charge, you agree to contact Konvyr first so we can attempt to resolve the issue.

Filing a chargeback after services have been authorized, started, delivered, used, approved, or made available may result in suspension of services and collection of any unpaid amounts, where permitted by law.

Konvyr keeps records of payments, approvals, work completed, website links, screenshots, messages, emails, invoices, notes, published deliverables, and other documentation to verify authorization and service delivery.

17. Client Content and Legal Compliance

Clients are responsible for the legality, accuracy, and ownership of all content, images, logos, trademarks, service claims, product claims, pricing, business information, testimonials, reviews, and materials they provide to Konvyr.

Konvyr is not responsible for legal issues caused by client-provided content, inaccurate claims, copyrighted material, trademark issues, regulated products, prohibited advertising claims, misleading business information, or unlawful content provided by the client.

Clients agree not to provide content or request work that is illegal, deceptive, infringing, harmful, or in violation of third-party rights.

18. Portfolio and Marketing Use

Unless the client requests otherwise in writing, Konvyr may display completed work, screenshots, website links, designs, logos, before-and-after examples, general results, and project descriptions in its portfolio, proposals, social media, website, sales materials, or marketing materials.

Konvyr will not intentionally share sensitive private business information without permission.

19. Confidentiality

Konvyr will make reasonable efforts to protect private client information, login details, internal business information, and non-public materials.

Clients should avoid sending sensitive passwords, banking information, or financial information through insecure channels when possible. Konvyr may request that access be shared through secure platform permissions when available.

20. Communication and Response Times

Konvyr may communicate with clients by text, email, phone, direct message, project management tools, forms, or other reasonable communication methods.

Konvyr will make reasonable efforts to respond to client messages in a timely manner, but response times are not guaranteed unless a specific service-level agreement is provided in writing.

Urgent, same-day, weekend, holiday, or after-hours requests may not be included in standard monthly service plans and may require an additional fee.

21. Timelines and Delays

Project timelines are estimates unless specifically guaranteed in writing.

Timelines may change due to client delays, delayed approvals, missing information, third-party platform issues, changes in scope, technical issues, or other circumstances outside Konvyr’s control.

Konvyr is not responsible for missed deadlines caused by client delays, third-party platform problems, or changes requested after work has begun.

22. Revisions and Approval

Clients are responsible for reviewing work and requesting revisions in a timely manner.

Approval may be given by text, email, phone, direct message, verbal confirmation, payment, continued use of the work, publishing the work, or other clear indication that the client accepts the work.

If a client uses, publishes, promotes, or continues using completed work, that may be treated as acceptance of the work.

23. Suspension or Termination of Services

Konvyr may suspend or terminate services if:

  • Payments are overdue, disputed, or charged back.
  • The client violates these Terms or requests illegal or unethical work.
  • The client is abusive, threatening, or unreasonable.
  • The client repeatedly fails to provide required information.
  • The client misuses Konvyr systems or third-party platforms.
  • Continuing the relationship is no longer reasonable or practical.

If services are terminated, the client remains responsible for amounts owed for work already completed or services already provided.

24. Limitation of Liability

To the fullest extent permitted by law, Konvyr is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from services, websites, marketing, automations, third-party platforms, account issues, ranking changes, outages, business outcomes, or client use of Konvyr’s work.

Konvyr’s total liability for any claim related to services is limited to the amount paid by the client to Konvyr for the service at issue during the most recent one-month billing period, unless otherwise required by law.

25. No Legal, Financial, Tax, or Compliance Advice

Konvyr may provide business, marketing, website, automation, SEO, or operational suggestions. However, Konvyr does not provide legal, financial, accounting, tax, insurance, or regulatory advice.

Clients should consult qualified professionals for legal, financial, tax, insurance, or compliance matters.

26. Indemnification

The client agrees to hold Konvyr harmless from claims, damages, losses, liabilities, costs, or expenses arising from client-provided content, inaccurate information, unlawful products or services, intellectual property issues, platform violations, customer disputes, client business practices, or the client’s use of Konvyr’s work.

27. Changes to Services or Terms

Konvyr may update, modify, replace, or discontinue services, packages, pricing, features, or these Terms from time to time.

Updated Terms will be posted on Konvyr’s website with a revised effective date.

Continued use of Konvyr’s services after updated Terms are posted means you accept the updated Terms.

28. Governing Law

These Terms are governed by the laws of the State of Michigan, unless another jurisdiction is required by applicable law.
